Over the Counter in investing refers to a security that is traded in some other way versus being listed on a formal exchange, such as the NASDAQ or New York Stock Exchange. These stocks are traded via dealer networks, and are often small stocks that are not able to meet requirements for being listed on the formal exchanges.
